Welcome to Angel City Stitchery! These Terms of Service (“Terms”) govern your use of our website at angelcitystitchery.com (the “Site”), our retail store located at 13347 W Washington Blvd, Suite B, Los Angeles, CA 90066, and all related services, including online and in-store purchases (collectively, the “Services”). Angel City Stitchery LLC (“Company,” “we,” “us,” or “our”) operates the Services.
By accessing or using the Services, you (“you” or “customer”) agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Use of the Services
You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services in any manner that could damage, disable, overburden, or impair the website (“Site”) or interfere with any other party’s use of the Services.
We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion, including if we believe that your conduct violates these Terms or applicable law, or is harmful to other customers, third parties, or us.
2. Products and Accuracy
We strive to display our products as accurately as possible. However, because needlepoint canvases and threads are hand-painted and dyed artistic works, colors may vary from what appears on your screen due to differences in monitor settings, lighting conditions, and the inherent nature of handcrafted goods. We do not guarantee that the colors displayed on the Site will exactly match the physical product.
Product descriptions, pricing, and availability are subject to change at any time without prior notice. We reserve the right to correct any errors, inaccuracies, or omissions in product information, pricing, or availability, even after an order has been placed. In the event of a pricing error, we will contact you before processing the order and give you the option to proceed at the correct price or cancel.
Product images on the Site may depict finished or styled needlepoint pieces for illustrative purposes only. Unless explicitly stated, purchases include only the items listed in the product description.
3. Orders and Payment
When you place an order through the Site, you are making an offer to purchase the products you have selected. All orders are subject to our acceptance. We may decline or cancel any order for any reason, including product availability, errors in pricing or product information, or concerns about order authenticity.
You agree to provide current, complete, and accurate purchase and account information for all orders. Payment is processed at the time of purchase through our third-party payment processor. We accept the payment methods displayed at checkout.
Order confirmation emails are sent as a courtesy and do not constitute acceptance of your order. Your order is accepted when the product ships and you receive a shipping confirmation.
4. All Sales Final — Return and Refund Policy
All sales are final. Due to the handcrafted, custom, and specialty nature of needlepoint canvases, threads, and accessories, we do not accept returns, exchanges, or offer refunds.
Please inspect your order upon delivery. If your order arrives damaged, defective, or if you received an incorrect item, please contact us within 7 days of delivery at hello@angelcitystitchery.com with your order number and a photograph of the issue. We will work with you to resolve the matter, which may include replacement of the item or store credit at our discretion.
Discount codes and promotional offers cannot be applied retroactively to previously placed orders.

5. Shipping
We ship orders from Los Angeles, California. Shipping rates, estimated delivery times, and carrier options are displayed at checkout. Delivery estimates are not guaranteed and may vary due to carrier delays, weather, or other factors outside our control.
Risk of loss and title for products passes to you upon delivery to the carrier. We are not responsible for delays, loss, or damage caused by the shipping carrier after the package has been tendered to the carrier. If a package appears lost or damaged in transit, please contact us and we will assist you in filing a claim with the carrier.
For international orders, the customer is responsible for all customs duties, import taxes, and fees imposed by the destination country. These charges are not included in the product price or shipping cost.
6. Intellectual Property
6a. Company Content
The Site and its contents — including but not limited to text, graphics, logos, icons, photographs, the Angel City Stitchery name and branding, page layout, and the compilation of content — are the property of Angel City Stitchery LLC or its licensors and are protected by United States copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from the Site without our prior written consent, except as necessary for your personal, non-commercial use of the Services (e.g., viewing products or printing a receipt).
6b. Designer and Third-Party Intellectual Property
Needlepoint canvas designs, patterns, and artwork displayed on the Site are the intellectual property of their respective designers and artists. Angel City Stitchery does not claim ownership of these designs. The purchase of a canvas grants the customer the right to stitch the design for personal use only. It does not transfer any intellectual property rights in the design itself.
You may not reproduce, digitize, scan, photograph for commercial distribution, or create derivative works based on any designer’s canvas or pattern, whether purchased from us or displayed on the Site. Designers’ trademarks, names, and logos remain the property of their respective owners.
7. User Accounts
You may be required to create an account to access certain features of the Site. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate any account at our sole discretion, without notice, for conduct that we determine violates these Terms or is harmful to other users, the Services, or us.
8. Email Communications and Marketing
By providing your email address, you may opt in to receive marketing communications from us, including newsletters, product announcements, and promotional offers. You may unsubscribe at any time by clicking the unsubscribe link in any marketing email or by contacting us directly.
Even if you opt out of marketing communications, we may still send you transactional or service-related emails, such as order confirmations, shipping notifications, and responses to your inquiries.
9. Third-Party Links and Services
The Site may contain links to third-party websites or services that are not owned or controlled by Angel City Stitchery. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Your use of third-party sites is at your own risk and subject to those sites’ own terms and conditions.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANGEL CITY STITCHERY LLC, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, OR COMPLETENESS OF ANY CONTENT ON THE SITE.
12. Indemnification
You agree to indemnify, defend, and hold harmless Angel City Stitchery LLC, its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any rights of another party.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services (“Dispute”) shall be resolved exclusively through confidential binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration shall take place in Los Angeles County, California. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: YOU AND ANGEL CITY STITCHERY AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights.
14. Children
The Services are not intended for use by children. We do not knowingly collect personal information from children. If you believe that a child has provided us with personal information, please contact us and we will take steps to delete that information.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Site and updating the “Last Updated” date above. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Angel City Stitchery regarding the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
